Bluegrass

For private equity sponsors, AI value creation from diligence to exit.

Bluegrass works with private equity sponsors and their portfolio companies in insurance distribution, wealth management, specialty lending and fintech on AI value creation measured in EBITDA: sizing it before close, capturing it within the hold and leaving each company owning the systems at exit.

Our team includes operators from Vista Equity Partners, Goldman Sachs and McKinsey, so we frame each initiative as a deal team does: what it is worth, whether it lands in the hold and how a buyer will value it.

Where AI moves EBITDA in a financial services business

Cost out of the back office

The largest, most certain gains come from high-volume, rule-bound work such as policy checking, loan files and KYC refreshes, where automation cuts the cost of each transaction against a measured baseline.

Growth without matching headcount

Operations that scale with volume rather than hiring, so organic growth and add-on acquisitions do not need operations headcount to grow in step.

Outsourcing and vendor spend

Outsourced processing and per-seat software are often what an owned system replaces first; the roadmap we built for a top-50 P&C brokerage is saving the firm millions of dollars in vendor fees it did not need to pay.

Speed, quality and compliance

Faster quotes, onboarding and funding win business, and fewer errors, complaints and exam findings protect it, which is part of the case a buyer will examine at exit.

The playbook, from diligence to exit

  1. 01

    Diligence

Before close, we assess the target's AI opportunity from the data room and management sessions: the cost that could be automated out, the revenue better service could win and the risk AI poses to the business itself.

  2. 02

    The first hundred days

After close, the 4-week Opportunity Evaluation turns that view into a costed roadmap agreed with management, with each initiative sized in EBITDA and a working prototype of the first.

  3. 03

    The build

The top initiatives are built in the company's own environment and put into production within 1 to 3 quarters, each measured against the evaluation's baseline.

  4. 04

    Adoption

Systems roll out with the people who will use them, with training and autonomy extended as accuracy is proven, because the plan's value arrives only when the operation changes.

  5. 05

    Exit

Each system is documented, tested and run by the company's own team, and its measured results join the equity story, so a buyer finds an owned asset rather than a dependency to discount.

What the deal team gets

  • Initiatives in EBITDA terms

Each opportunity's expected effect on cost or revenue, with its investment, timing and risks, ready to drop into the value creation plan.

  • One method across the portfolio

The same evaluation and the same measures at every company, so that results can be compared and each company starts from what the previous one taught us.

  • A management team that owns the plan

Roadmaps agreed with each company's management rather than imposed on it, and systems its own people run, which is what makes the results last beyond the engagement.

  • An exit-ready record

Code, documentation, evaluation results and a history of measured outcomes that a buyer's technical and commercial diligence can verify, with no license or vendor dependency to discount.

Questions sponsors ask

Can you assess a target before we close?
Where the timetable allows, we assess a target's AI opportunity and exposure from the data room and management sessions, written for the investment committee memo. Without access to the company's systems it is narrower than the evaluation after close, and it marks which figures are estimates.
Who owns the IP when the sponsor funds the work?
Each company owns the code and systems built for it under the IP assignment in every contract, so the asset stays with the business through a sale. Contracting and payment are agreed with the sponsor and the company at the start.
Can you work across several portfolio companies at once?
We run only 3 to 5 engagements at a time, so we sequence a portfolio program and agree the order with the operating partner, starting where the opportunity is largest.
Can what you build for one company be reused at another?
Code belongs to the company it was built for, so it is not copied across. The method, the evaluation discipline and our experience carry over, which usually makes the second company faster than the first.
How soon does it show up in the numbers?
The evaluation gives each initiative's return and timing before any build starts, and a build takes 1 to 3 quarters, so within a month you know what is achievable in the hold.
Can it help integrate add-on acquisitions?
For platforms that grow by acquisition, the same document reading can map an acquired firm's clients, policies, accounts and files into the platform's systems, often the slowest part of an integration.

A senior team that has done this before

We are a small, entirely senior team with fifty years of combined AI engineering, multiple granted patents and Y Combinator founders, from Yale, MIT, McKinsey, Goldman Sachs, Microsoft and Vista Equity Partners. The people who scope your work are the people who write the code.

Selected work

We built the AI transformation roadmap for a top-50 P&C brokerage, and it is saving the firm millions of dollars in vendor fees it did not need to pay.

Clients include some of the largest banks, RIAs, fintechs and AI labs, as well as a top-3 P&C carrier, a top-10 P&C brokerage, a top-5 trucking brokerage, a leading specialty MGA and a leading trucking MGA.

We run only 3 to 5 engagements at a time, so that every client works directly with the senior team.

A 30-minute call with an engineer, joined by the company's management if that helps, usually shows whether there is a case, and within a week you will have a free written point of view on what it is worth.
