Bluegrass

Commercial loan closings where every document matches the approval before anyone signs.

Bluegrass builds closing systems for commercial and CRE lenders and banks. They compare the loan documents with the credit approval and review title, survey, insurance and entity documents against your requirements, listing every exception for the closer and counsel.

A closing brings dozens of documents together under a fixed deadline, and a term that doesn't match the approval or an unmet condition is far harder to fix after funding.

What a commercial closing involves today

After approval, a closer works through a checklist: counsel's loan documents, the borrower's entity documents, evidence of insurance and, for real estate, title and survey. Each is read, compared with the approval and chased until it is final.

Closers compare long documents side by side under time pressure, and knowing what to look for takes experience. Because each check can be stated and traced, AI can prepare the comparisons, leaving judgment and negotiation to the closer and counsel.

How automated closing review works

  1. 01

    Build the checklist

The checklist is built from the credit approval, the loan type and your closing requirements, and each item is matched to documents as they arrive.

  2. 02

    Compare the loan documents

Drafts and executed documents are checked against the approval and term sheet for amount, pricing, maturity, covenants, guarantors and conditions.

  3. 03

    Review title and survey

Title commitments are read for requirements and exceptions and compared with the survey and legal description, and items needing a response or endorsement are listed for counsel.

  4. 04

    Check insurance and entities

Insurance is checked against the loan's requirements for coverage, limits, deductibles and lender endorsements, and organizational documents are checked for authority, signers and good standing.

  5. 05

    Clear and record

Open items are tracked to closing and signed off by the closer, and the final documents and an abstract of their key terms are filed for servicing and monitoring.

Where people stay in the loop

Closing decisions, waivers of conditions and anything needing legal judgment stay with your closers, loan officers and counsel. The comparisons are first tested on past closings, including those where problems were found.

The systems it works with

The system works with your loan origination and document systems, your closing checklist and the inboxes and portals where documents arrive, and passes the final terms to servicing.

When to build it, and when to buy it

Loan origination platforms track closing checklists, and some document tools compare contract versions, so a lender with standardized documents and a modest pipeline may find what it has sufficient.

A custom build makes sense when documents are negotiated deal by deal, when real estate closings bring title and survey reviews in volume, or when closing terms should flow into covenant monitoring and servicing.

We hold no reseller agreements, partner quotas or revenue share with any vendor, so a recommendation to buy is made on its merits.

What this work costs you today

A quick way to put a number on the problem before talking to anyone, using your own figures rather than ours.

Enter your volume and the minutes each one takes to see what the work costs in a year.

The numbers stay in your browser and are not stored or sent anywhere. Bring the figure to the first call, since it is the baseline any system should be measured against.

Questions about commercial loan closing

Does it replace our closing counsel?
Counsel still drafts, negotiates and gives opinions. The system prepares the comparisons and exception lists your closer and counsel would otherwise build by hand.
Can it review title commitments?
It reads the commitment's requirements and exceptions, compares the legal description with the survey and lists each item needing a response or endorsement for counsel and the title company to resolve.
What happens after closing?
The final documents' key terms are abstracted into the loan system, so covenant monitoring, reporting and servicing start from what was signed rather than the approval.

A senior team that has done this before

We are a small, entirely senior team with fifty years of combined AI engineering, multiple granted patents and Y Combinator founders, from Yale, MIT, McKinsey, Goldman Sachs, Microsoft and Vista Equity Partners. The people who scope your work are the people who write the code.

Selected work

We built the AI transformation roadmap for a top-50 P&C brokerage, and it is saving the firm millions of dollars in vendor fees it did not need to pay.

Clients include some of the largest banks, RIAs, fintechs and AI labs, as well as a top-3 P&C carrier, a top-10 P&C brokerage, a top-5 trucking brokerage, a leading specialty MGA and a leading trucking MGA.

We run only 3 to 5 engagements at a time, so that every client works directly with the senior team.
